1. Who we are
facturXlogy (the “Service”) is operated by Canopy Nexus Ltd (“we”, “us”, “our”), a company registered in the United Kingdom. You can reach us at canopynexus.com.
2. The Service
The Service lets you generate electronic invoices in the Factur-X format (a PDF document with embedded EN 16931 XML) from information you provide through a guided form. The Service is currently offered as a free trial: its purpose is to let you evaluate electronic invoicing and to let us gather feedback. We may change, suspend or discontinue the Service, or introduce paid plans, at any time and without notice.
3. Acceptance of these terms
By using the Service you agree to these Terms & Conditions and to our Privacy Policy. If you do not agree, please do not use the Service.
4. Your responsibilities
When using the Service you agree that:
- you are responsible for the accuracy, completeness and lawfulness of all information you enter, and for having the right to use it;
- you remain solely responsible for verifying that generated invoices meet the legal, tax and accounting requirements that apply to you before sending them to anyone;
- you will not use the Service to produce fraudulent, misleading or unlawful documents;
- you will not attempt to disrupt, overload, reverse-engineer or gain unauthorised access to the Service.
5. No professional advice
The Service is a document-generation tool. Nothing in the Service constitutes legal, tax or accounting advice. E-invoicing regulations differ between countries and change over time; consult a qualified professional to confirm your obligations.
6. Your data and your documents
Invoices are generated on the fly and are not stored on our servers. You keep full ownership of the information you enter and of the documents you generate. We claim no rights over your invoices. We do use cookieless product analytics to measure usage of the Service (such as invoices started, invoices generated, and downloads); this never includes the content of your invoices. 7. Intellectual property
The Service, its design, branding and underlying software (other than your content) are owned by Canopy Nexus Ltd or its licensors. The invoice-generation engine is the open-source @canopynexus/factur-x library, released under the MIT licence.
8. Availability and warranties
The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including fitness for a particular purpose, uninterrupted availability, or that generated documents will be accepted by any particular platform, authority or counterparty.
9. Limitation of liability
To the maximum extent permitted by law, Canopy Nexus Ltd shall have no liability whatsoever to you for any loss or damage of any kind, howsoever arising, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising out of or in connection with these terms or your use of the Service. Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law.
10. Changes to these terms
We may update these terms from time to time. The date at the top of this page indicates the latest revision. Continued use of the Service after a change constitutes acceptance of the revised terms.
11. Governing law
These terms are governed by the laws of England and Wales, and any dispute is subject to the exclusive jurisdiction of the courts of England and Wales.
